1. Agreement
These Terms of Service ("Terms") govern your use of Sera ("the Service"), operated by Dipity Labs Inc. ("Dipity", "we", "us") at sera.dipity.studio. By creating an account or using the Service, you agree to these Terms. If you are using Sera on behalf of a company, you represent that you have authority to bind that company, and "you" refers to it.
2. The Service
Sera is a content platform that helps you create, edit, schedule, and publish marketing content, including AI-generated text, images, audio, and video, and provides analytics for your own properties. Features may change as the Service evolves; we will not materially reduce the core functionality of a paid plan during a period you have already paid for.
3. Accounts and workspaces
You are responsible for your account credentials and for all activity in your workspace. Keep your login secure and tell us promptly at morgan@dipity.digital if you suspect unauthorized access. You must provide accurate account information and be at least 16 years old.
A workspace can have unlimited members who share one credit pool. Owners and admins manage members, billing, settings, and connected accounts. Members can create, edit, approve, and publish content. Viewers have read-only access. You are responsible for the people you invite and the roles you give them.
4. Plans, credits, and billing
One plan, your choice of credits. Sera has one plan. You pick how many credits you get each month, and larger plans include more credits per dollar. One credit has a list value of $0.25. Enterprise pricing is agreed with us directly.
Free trial. New workspaces can start a 7-day free trial. A card is required, and nothing is charged until the trial ends. The trial includes trial credits plus bonus credits. Each workspace gets one trial, ever. Credits left over at the end of the trial do not carry over to your paid plan. Unless you cancel before the trial ends, your plan starts and your card is charged.
What uses credits. Chat, interviews, voice, and the newsroom are included within fair use. Written content is charged when you approve a draft, not when Sera writes it. Images, designs, videos, clips, and other media are charged per generation, and the cost is shown before you generate. Actions Sera takes on her own for you, such as replying to comments or sending direct messages, are charged per action. Each plan includes a free monthly allowance of chat turns and voice minutes based on the plan price; use beyond that allowance is charged in credits. We may limit the number of free drafts per day.
Rollover and top-ups. Unused plan credits roll over for one billing cycle, up to one month's allotment. Top-up credits can be bought at any time at your plan's rate and stay valid for 12 months from your latest top-up. Auto-recharge is off unless you turn it on, give consent, and set a monthly spending cap; it never charges more than that cap in a month.
Payment and cancellation. Plans are billed monthly in advance through Stripe. Unless agreed in writing, fees are non-refundable except as described in our Refund Policy or where required by law. You can cancel at any time; your plan stays active until the end of the period you paid for, and top-up credits you bought remain spendable until they expire. If a payment fails, we email and text the workspace owner with a link to update the card. Access continues, but no new plan credits are added until the payment goes through. Pricing changes take effect at your next billing cycle, with prior notice.
5. Approvals and autonomy
You choose how much Sera does without asking. In "Ask me first" mode, nothing is published until you approve it. In "Quiet approval" mode, a draft is published about 24 hours after it is drafted unless you stop it. In "Autopilot" mode, Sera publishes on her own. If you choose Quiet approval or Autopilot, content can be published to your connected accounts without approval of each post, and you are responsible for that content as if you had published it yourself. You can change modes at any time.
X auto-replies. If you opt in and sign the consent in the app, Sera can reply to comments on your X posts, and send direct messages if you turn that on, posting as you from your connected X account. Each reply is charged in credits. You can turn auto-replies off at any time.
6. Your content
You own the content you upload and the content the Service generates for you, to the fullest extent permitted by law. You grant us a limited license to host, process, and transmit your content solely to operate the Service — including sending it to the AI and media processing providers that power features you use, and publishing it to platforms you connect, at your direction. You are responsible for having the rights to the material you upload and for the content you choose to publish.
7. Acceptable use
You agree not to use the Service to:
- violate any law or the rights of others, including intellectual property rights;
- create or distribute spam, malware, or deceptive content, including impersonation;
- probe, disrupt, or circumvent the Service's security or usage limits;
- resell or provide the Service to third parties except as agreed with us in writing.
Connected platforms (such as social networks and Google) have their own rules; you are responsible for complying with them for content you publish there.
8. Third-party services
The Service integrates third-party providers for hosting, AI generation, media processing, and publishing. We are not responsible for outages or changes in third-party services, though we will make reasonable efforts to route around them. Your use of a connected third-party account is governed by that provider's own terms.
9. AI-generated content
AI output can be inaccurate or imperfect. You are responsible for reviewing generated content before publishing it. The Service is not a substitute for professional advice, and we make no guarantee that generated content is factually accurate, original in all respects, or fit for a particular purpose.
10. Termination
You may stop using the Service and request account deletion at any time. We may suspend or terminate accounts that materially breach these Terms, with notice where practicable. Upon termination we will, on request, provide a reasonable opportunity to export your content before deletion.
11. Disclaimers and limitation of liability
The Service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, Dipity will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising out of the Service is limited to the amounts you paid us in the twelve months before the claim arose.
12. General
These Terms are governed by the laws of the United States and the state in which Dipity Labs is organized, without regard to conflict-of-law rules. If any provision is found unenforceable, the rest remain in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and Dipity regarding the Service. We may update these Terms; material changes will be announced to active customers by email before taking effect.
13. SMS messaging program terms & conditions
Sera, operated by Dipity Labs, offers an optional SMS program. You enroll only by verifying your mobile number in Sera and checking the consent box; we never add you without your direct, express opt-in consent, and we do not obtain your number from, or share it with, any third party or affiliate for marketing purposes.
- Program and message types. The Sera program is a two-way assistant conversation: replies when you text Sera, interview questions and reminders (for example a question in your text-based Discovery interview), updates on drafts that need your approval, and account alerts such as a declined card. Photos, videos, documents, and voice memos you text to Sera are saved to your workspace, and voice memos are transcribed.
- Message frequency. Message frequency varies with how often you text Sera and how much work she is doing for you. Quiet hours apply unless you ask her to text.
- Cost. Message and data rates may apply, per your mobile carrier plan.
- Opt out. Reply STOP at any time to unsubscribe. STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, REVOKE, and OPT OUT also work. You will receive one confirmation message and then no further texts unless you reply START or re-enroll.
- Help. Reply HELP for help, or email morgan@dipity.digital for support.
- Carrier disclaimer. Carriers are not liable for delayed or undelivered messages.
- Privacy. Your mobile information is handled per our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

14. Phone calls with Sera
You can call Sera from a verified phone number. Calls are recorded and transcribed, and the transcript is saved to your workspace. If you call from a number that is not verified, Sera emails a one-time code to the account email and asks you to read it back before the call continues.
